About Seedspace

Seedspace explains early-stage fundraising with the arithmetic shown, so founders can see what a round really costs them before they sign.

Most founders raise their first money on documents they have never read closely, at terms whose effect only shows up a year later when a priced round converts everything. Seedspace covers that ground in one place: the stages of early funding, the instruments rounds are written on, the term-sheet clauses that decide who gets paid and who decides, the process of raising and closing, and the public programs that fund companies without taking equity. The calculators let you run your own numbers.

How it is made

The site is researched and written with AI assistance by an automated publishing system run by the site's owner, and rebuilt every week. Facts about laws and programs are taken from the official sources listed on each page and dated; worked examples are computed by the site's cap-table engine, which is tested on every build against Y Combinator's published post-money SAFE examples. The methodology page gives the details and the full validation table.

Independence

No investor, fund, accelerator, law firm or platform pays to appear here or is recommended here. There is no advertising and there are no affiliate links. Seedspace does not offer, sell or solicit any investment.

What this site is not

It is not legal, tax or investment advice, and reading it does not create any professional relationship. Fundraising documents are contracts with legal and tax consequences that depend on your country, your company and the exact wording you sign. Use this site to understand the questions; use a qualified lawyer and accountant to answer them for your company.
